Terms of Service

By accessing or using snkrvlt.com (the “Site”) or any SNKR VLT services (together, the “Services”), you confirm that you have read, understood, and agree to be legally bound by these Terms and any related policies posted on the Site. If you do not agree, please stop using the Services.

The Services may only be used for lawful purposes. You agree not to use the Services in ways that could damage, disable, overburden, or impair them, or interfere with other users' use of the Services. Unauthorized access, data mining, scraping, or reverse engineering of the Services is prohibited.

You may need an account to use certain Services, including storing items, buying, or selling. You can create an account using an email address or another sign-in method we offer, such as a social account. To list items for sale or buy items, you must keep a valid payment method on file with our third-party payment processor, and to receive sale proceeds you must complete payout setup with that processor.

By creating an account, you agree that SNKR VLT may charge your payment method for amounts you owe under these Terms, including costs or losses resulting from your violation of these Terms.

You are responsible for:

• Providing accurate and truthful account information, and not registering under a false name, age, or unauthorized payment method;
• Keeping your information, including your contact details and shipping address, up to date;
• Maintaining the confidentiality of your login credentials and restricting access to your devices;
• All activity conducted through your account;
• Notifying SNKR VLT immediately of any unauthorized use of your account or any other security breach.

You may be held liable for losses incurred by SNKR VLT or others due to unauthorized use of your account. You may not use another person's account without their permission, impersonate another person or business, or transfer or assign your account. Regulatory requirements may require us or our partners to verify your contact information; failure to provide timely and accurate information may result in suspension of your account.

The SNKR VLT name, logo, trademarks, website design, graphics, text, software, photographs, and other content are owned by or licensed to SNKR VLT and are protected by intellectual-property laws. You may not reproduce, modify, distribute, sell, or commercially exploit this content without prior written permission.

You may submit photographs, descriptions, listings, reviews, comments, and other content. By submitting content, you represent that you have the right to provide it, and you grant SNKR VLT a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, and publish it as reasonably necessary to operate the Services. SNKR VLT may remove content that violates these Terms or applicable law.

You may not use the Services for, or submit, list, or transmit:

• Counterfeit merchandise;
• Stolen property;
• Illegal goods, hazardous materials, or items that violate applicable law;
• Fraudulent transactions or unauthorized payment activity;
• Money laundering or other financial crimes;
• Account manipulation, price manipulation, or false reviews;
• Defamatory, obscene, harassing, or otherwise objectionable content;
• Hacking or attempts to compromise SNKR VLT systems;
• Any activity that could damage SNKR VLT, its members, or its marketplace.

SNKR VLT may establish additional prohibited-item policies.

Your use of the Services is subject to the SNKR VLT Privacy Policy, which describes how we collect, use, store, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.

SNKR VLT uses third-party companies for services including payment processing, shipping, authentication, insurance, technology, website hosting, analytics, and communications. Third-party services may be governed by their own terms and policies. The Site may also link to third-party websites; SNKR VLT does not endorse or control them. SNKR VLT is not responsible for the acts, omissions, content, or practices of third parties except to the extent required by applicable law.

To the extent permitted by law, SNKR VLT shall not be liable for any indirect, incidental, or consequential damages resulting from your use of, or inability to use, the Services.

The Services are provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

SNKR VLT does not guarantee appreciation or market value. Market values can fluctuate, and an item's condition may change over time. Certain materials can naturally deteriorate even under controlled conditions. SNKR VLT is not responsible for inherent defects, manufacturing defects, age-related deterioration, or pre-existing damage.

SNKR VLT intends to maintain a secure, temperature-controlled, and monitored storage environment designed to reduce exposure to conditions that may adversely affect stored items. However, environmental controls and security systems cannot eliminate all risk, and SNKR VLT does not guarantee that any item will remain completely free from deterioration, discoloration, material degradation, or other changes.

In the event of equipment failure, utility interruption, natural disaster, security incident, or other event outside SNKR VLT's reasonable control, SNKR VLT will take commercially reasonable steps to protect stored property.

SNKR VLT may photograph and document items for purposes including:

• Inventory management;
• Authentication;
• Condition documentation;
• Customer service;
• Security;
• Marketplace listings;
• Shipping verification;
• Recordkeeping.

Photographs and documentation created by SNKR VLT may be retained as part of an item's transaction and storage history. SNKR VLT will not use identifiable photographs of a member's collection for public marketing purposes without appropriate authorization.

All sneakers accepted by SNKR VLT must include the correct brand-issued box with its lid and the proper label showing the corresponding shoe size and style code. Boxes should be in good condition, though they may be accepted with minor dents, tears, or wrinkles on the lid that occurred during manufacture, shipping, or storage. Boxes for sneakers four years or older may be accepted with slight discoloration or minimal damage that can naturally occur in storage. Do not remove, tamper with, obstruct, or obscure any QR codes or RFID chips on the box.

By providing a payment method, you authorize SNKR VLT or its authorized payment processor to charge applicable fees. Members are responsible for keeping payment information current.

If a payment fails, SNKR VLT may:

• Attempt to process the payment again;
• Notify the member;
• Suspend certain Services;
• Restrict marketplace activity;
• Charge applicable fees;
• Ultimately terminate the account and initiate its abandoned-property procedures where applicable.

Memberships renew automatically. Each membership renews at the end of its billing period (for example weekly, monthly, or yearly, as shown when you purchase) and your payment method is charged the then-current price, including any ongoing promotional discount that applies to that membership, until you cancel.

You can cancel at any time from the Billing page of your account. Cancellation takes effect at the end of the current paid period: you keep access until then, and you will not be charged again. Cancellation is final; to continue after it takes effect, purchase a new membership. Amounts already paid for the current period are not refunded except where required by law.

Fees for SNKR VLT Services, including any applicable shipping fees, are shown on the Pricing page or at checkout before you pay.

• Sellers are solely responsible for collecting, reporting, paying, and remitting any local, state, or federal sales taxes that apply to their sales.
• Buyers are responsible for any local, state, or federal taxes (including sales taxes) associated with their purchases.

SNKR VLT is not responsible for reporting, collecting, or paying taxes on your behalf, except in jurisdictions where SNKR VLT is obligated to act as a marketplace facilitator.

As necessary to complete transactions and in accordance with our Privacy Policy, you agree to provide SNKR VLT with relevant tax information, which may be shared with tax authorities in connection with payments you receive through the Services. Failure to provide required tax information may result in suspension of your account.

Members are responsible for properly packaging items they send to SNKR VLT. Where SNKR VLT provides shipping instructions, labels, QR codes, or other shipping materials, members must follow those instructions. SNKR VLT is not responsible for damage caused by inadequate packaging. Members should keep shipping receipts and tracking information until SNKR VLT confirms receipt.

Members may request shipment of eligible stored items through their account. Shipping fees will be shown before shipment when reasonably practicable. Shipping charges may vary based on:

• Destination;
• Package size;
• Weight;
• Carrier charges;
• Insurance;
• Special handling;
• Other applicable costs.

SNKR VLT may use third-party carriers, including UPS or other carriers selected by SNKR VLT. Once a package has been transferred to the carrier, the carrier's terms and limitations may apply.

SNKR VLT will take reasonable steps to package stored items appropriately for shipment. If a shipment is lost, damaged, or delayed while in the possession of a third-party carrier, SNKR VLT may assist with a carrier claim when appropriate. Any recovery may depend on the carrier's terms, declared value, insurance, and claim procedures. SNKR VLT does not guarantee delivery dates provided by third-party carriers.

SNKR VLT operates an online marketplace where members can list eligible items for sale at a fixed price and other users can buy them. Unless expressly stated otherwise, SNKR VLT acts as a marketplace service provider and facilitator and is not the owner or seller of items listed by members. The seller is responsible for accurately representing the item and having the legal authority to sell it.

Listings are marked to show whether SNKR VLT holds and has inspected the item (“Vault Verified”) or the seller holds and ships it (“Owner Listed”).

By listing an item for sale, a seller represents and warrants that:

• The seller owns the item or has legal authority to sell it;
• The item is not stolen;
• The item is not counterfeit;
• The listing accurately describes the item and discloses its condition;
• Material alterations, restorations, modifications, or replacements are disclosed;
• The seller has not intentionally concealed material information;
• The transaction does not violate applicable law.

SNKR VLT may remove a listing, suspend a seller, cancel a transaction, or take other action if these representations are suspected to be inaccurate.

Once a buyer completes payment, the buyer and seller are obligated to complete the transaction subject to these Terms. Neither a seller nor a buyer may cancel a transaction because the item's market value changed after the sale. SNKR VLT may cancel a transaction when fraud, authenticity concerns, material listing errors, shipping problems, payment problems, or other circumstances warrant it.

SNKR VLT charges a fee on marketplace sales. The applicable fee is disclosed to the seller before or at the time an item is listed or sold, and may change upon reasonable notice. The fee is deducted from the sale proceeds. Shipping charges paid by the buyer, taxes, payment-processing fees, and other charges are separate and are not part of the seller's proceeds.

The buyer's payment is held by SNKR VLT until the order is fulfilled. The seller's proceeds (the item price less the marketplace fee) are released to the seller's payout account after the item has been delivered to the buyer, and arrive on the payout schedule of our payment processor.

SNKR VLT may cancel an order and refund the buyer before the item ships, including when the buyer requests cancellation, an item fails inspection, or a problem is found with the item or listing. Refunds are made to the original payment method and include the item price and shipping charges. Depending on the SNKR VLT marketplace's policy, payment-processing fees may be deducted from a refund where disclosed at the time of purchase. Refunds typically appear on the buyer's statement within 5–10 business days, depending on the bank.

When an order is cancelled before shipping, the item may be returned to the seller's vault, relisted, or held for review, and the seller will be notified.

All sales are final. However, if an error occurs on our end (such as shipping the wrong item), we will make it right. Once we receive the item back in the condition in which it left SNKR VLT, we will refund the item price, including fees and shipping. Returns must be initiated within 14 days of the buyer receiving the item.

SNKR VLT takes counterfeiting and fraud very seriously. If a seller provides a counterfeit item or attempts to defraud any buyer or SNKR VLT, SNKR VLT may, at its sole discretion:

• Remove any or all of the seller's listings;
• Cancel any or all of the seller's pending orders;
• Withhold any payments due to the seller;
• Restrict the seller's buying and selling privileges;
• Charge the seller's payment method for costs, expenses, and fees incurred by SNKR VLT as a result, including replacement items, buyer coupons or credits, reprinting fees, carrier rerouting charges, and refunds to buyers;
• Ship the counterfeit item back to the seller at the seller's expense;
• Provide counterfeit items to law enforcement or destroy them;
• Temporarily or permanently suspend the seller's account;
• Charge the seller's payment method a service fee of at least $15.00 USD or up to 15% of the transaction amount, at SNKR VLT's discretion.

Sellers agree these remedies are reasonable upon discovery of counterfeit items or fraud, even if the seller was unaware of the counterfeit or fraudulent nature of the items. If counterfeit items are turned over to law enforcement, the seller's communications and property claims must be directed to that agency, not to SNKR VLT.

SNKR VLT uses fraud-protection measures, including automated systems, which may result in cancelled listings or sales or suspended accounts. Sellers affected in error should contact us. SNKR VLT may require additional identification for high-value transactions or accounts with high payment volumes.

SNKR VLT monitors its marketplace to prevent manipulation and fraud. If SNKR VLT determines that a user is engaging in fraudulent behavior, including creating false accounts, interfering with fair market operation, or providing misleading information about pricing or demand, it may:

• Remove the user's listings;
• Cancel the user's pending orders;
• Withhold payments due to the user;
• Restrict the user's buying and selling privileges;
• Charge the user's payment method for costs, expenses, and fees incurred by SNKR VLT;
• Notify law enforcement;
• Temporarily or permanently suspend the user's account;
• Charge the user's payment method an additional service fee of up to $1,000 to cover investigation and related costs.

Users who believe their activity was flagged in error are encouraged to contact us.

SNKR VLT does not guarantee the value of any item. Estimated values, marketplace prices, historical sales, and other pricing information are provided for informational purposes only. An item's actual value may be affected by condition, authenticity, size, rarity, demand, market conditions, release history, packaging, accessories, timing, and other market factors.

If an account becomes delinquent, SNKR VLT may restrict access to the Services and require payment of outstanding amounts before releasing or shipping items. If property remains unclaimed after termination or prolonged nonpayment, SNKR VLT may take action permitted by applicable law, including procedures concerning abandoned property, sale, disposal, or other disposition. SNKR VLT will provide notices when required by applicable law.

SNKR VLT may suspend or terminate your account or access to the Services, with or without notice, if you:

• Violate these Terms;
• Fail to pay amounts owed;
• Engage in fraudulent or unlawful conduct;
• Submit prohibited items;
• Attempt to manipulate the marketplace;
• Abuse other users or SNKR VLT personnel;
• Create security risks;
• Otherwise misuse the Services or engage in conduct harmful to the Services or its users.

Termination does not eliminate amounts already owed or obligations that by their nature should survive termination.

SNKR VLT strives to maintain reliable Services but does not guarantee uninterrupted or error-free access. Services may occasionally be unavailable because of maintenance, software updates, security incidents, equipment failure, internet outages, utility interruptions, third-party service interruptions, or events beyond SNKR VLT's reasonable control.

SNKR VLT will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, severe weather, power failure, war, terrorism, civil unrest, government action, labor disruptions, carrier disruptions, cyberattacks, or other extraordinary events. SNKR VLT will take commercially reasonable steps to resume Services when circumstances permit.

You agree to indemnify and hold harmless SNKR VLT, its affiliates, and employees from any claims, liabilities, or expenses arising from your use of the Services or your violation of these Terms.

Before starting formal legal proceedings, you and SNKR VLT agree to make a good-faith effort to resolve any dispute directly through SNKR VLT customer support. These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles, except to the extent federal law or other applicable law requires otherwise. Any legal action must be filed in the state or federal courts located in Washington State.

SNKR VLT may modify these Terms from time to time. Updated Terms will be posted on the Site with a revised “Last Updated” date. Your continued use of the Services after updated Terms take effect constitutes acceptance of them, except where applicable law requires additional notice or consent.

These Terms, together with the policies they reference, constitute the entire agreement between you and SNKR VLT regarding the Services. If any provision is found unlawful, invalid, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

By creating an account, purchasing a membership, submitting property to SNKR VLT, buying or selling through the SNKR VLT marketplace, or otherwise using the Services, you acknowledge that you have read and agree to these Terms.
